Business brokers acting for the seller

Traditionally business brokers are associated with acting for the seller of a business. They are mandated to market and sell, for the best price terms and conditions the sellers business for which they are rewarded normally by means of a commission payment based on the sale price.

Loosely speaking this process is akin to purchasing a property through an estate agent, although you deal directly with them they do not act for you but act for the properties seller.

It is more and more common place for the purchaser of a business to employ the services of a business buyer. These can go by any number of names but in essence it is a professional person who acts on behalf of you, the purchaser, in reaching an agreement to purchase a particular business.

Many businesses do fail in the early years due to any number of reasons:
  • Inadequate financing
  • Lack of experience
  • Market conditions
To name but a few…..
However many fail simply because they did not buy right!

It goes without saying that first time and inexperienced business buyers should seek the services of a professional on their side but even experienced business people will employ a business broker in buying a business.

This rationale can be further justified for people who have spent time outside of South Africa or are immigrants. In both cases having a professional ‘on the ground’ could prove vital.

Choosing the right professional to deal with is imperative, questions you may want answered when making your selection include:
  • How experienced are they?
  • What are their qualifications?
  • How many transactions have they been involved with?
  • Have they ever owned their own business?
  • Do they specialize in a particular business type?
  • What references can they provide?
  • Can they carry out due diligence for you?
  • Their professional fees.

What does a business broker do?

It is probably better to start with what they don’t do. They cannot do the search for you, they can give you the tools to start the search but it is something the buyer must carry out.

They also cannot find the right business for you, ultimately this is the buyers decision but they can help to ensure that the decision is based on sound decision making principles, that the price is fair and legal provisions are taken care of.

Brokers roles can vary according to their service offering but can include:
  • Tool kit for helping you search
  • Assistance in compiling the offer to purchase
  • Due Diligence
  • Legal formalities
  • Appropriate company structure
  • Business planning
  • Budgeting
It is also sometimes worthwhile to have a buffer between the purchaser and seller, often bad news or hard negotiations have to take place. As the seller will often be staying on for a period to help train the buyer it is important this relationship remains good.

It should be reminded that even when employing a business broker to help you make a decision the final say always stays with the buyer.;
